Terms & Conditions of Sale (Trade Only)

These Terms apply to all quotations, orders and supplies of Goods by Perimeter Security Equipment Ltd ("Seller", "we", "us").

1. Trade Only

We supply business customers only. By placing an order you confirm you are acting in the course of business and not as a consumer.

2. Application of Terms

These Terms override any terms the Buyer attempts to impose unless agreed in writing by a Director of the Seller.

3. Quotations

Valid for 30 days unless stated otherwise. Prices are exclusive of VAT and delivery unless specified.

4. Orders & Acceptance

A contract forms only when we issue written acknowledgement or dispatch goods.

5. Payment Terms

Payment terms are strictly 30 days from invoice date, subject to approved credit.

Time for payment is of the essence.

6. Late Payment

Interest will accrue under the Late Payment of Commercial Debts (Interest) Act 1998 at:

• 8% above Bank of England base rate
• Plus statutory compensation and recovery costs.

We reserve the right to suspend supply for overdue accounts.

7. Delivery & Risk

Delivery dates are estimates only.

Risk passes on delivery to carrier or collection.

8. Retention of Title

Goods remain the property of Perimeter Security Equipment Ltd until paid for in full.

We reserve the right to recover goods where payment is overdue.

9. Inspection & Claims

Shortages or damage must be reported within:

• 48 hours for visible issues
• 5 working days for concealed issues

10. Returns (Trade Only)

Returns are accepted subject to:

• Written Returns Authorisation (RMA)
• Goods unused and in resaleable condition
• Buyer pays return carriage
• Restocking fee may apply (at our discretion depending on goods and nature of return)

Special order or bespoke items may not be returnable.

11. Warranty

Warranty is limited to manufacturer's warranty where applicable.

We do not accept responsibility for installation, commissioning, system integration or site works.

12. Limitation of Liability

Nothing excludes liability for death or personal injury caused by negligence.

Subject to that:

• Our total liability is limited to the invoice value of the Goods supplied giving rise to the claim.
• We are not liable for indirect or consequential losses, including loss of profit, loss of business or downtime.

13. Force Majeure

We are not liable for delay caused by events beyond our reasonable control.

14. Governing Law

These Terms are governed by the laws of England & Wales.
